Terms & Conditions:
WHEREAS, Office Furniture Locators, (“OFL”) (“Seller and “OFL” may be referred to individually as the “Party” or collectively referred to herein as the “Parties”).  OFL currently owns and operates a business that provides internet advertising for new and used office furniture Sellers throughout the United States.  Seller desires to advertise its new and used office furniture on OFL’s Website, pursuant to the terms and conditions hereinafter set forth;  NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, OFL and Seller agree as follows:

1.	Recitals and Definitions. The foregoing Recitals are incorporated herein by reference as though the same were set forth in full.  For purposes of this Agreement, “you” or “your” refers to the Seller, “Internet Advertising” means all information about the Seller and all contents (text, photographs, descriptions, etc.) which the Seller provides, and “Website” means the domain of OFL’s website (www.officefurniturelocators.com) which is published electronically on the internet.
2.	Term. Your “Internet Advertising” will be featured on the Website starting upon payment of the initial listing fee and will continue from month-to month unless canceled and/or suspended as set forth in Section 3 (the “Term”).  
3.	Cancellation/Suspension.  This Agreement may be suspended or canceled as follows: (a) You may suspend or cancel your Internet Advertising at any time upon thirty (30) days written notice received by OFL.  All of your Internet Advertising will be removed from the website within 24 hours of the cancellation or suspension date requested. (b) If OFL determines, in its sole discretion, that you have violated your obligations under this Agreement, or any of the rules set forth herein, OFL may temporarily and/or permanently suspend its provisioning of, your access to, and/or ability to use your Internet Advertising, in whole or in part, without notice. (c) OFL may cancel and remove any or all of your Internet Advertising without notice at any time in its sole discretion for any reason, without limitation, if OFL concludes that (i) you are in breach of any term of this Agreement; (ii) your Internet Advertising might be misleading, obscene or indecent; (iii) your Internet Advertising might violate a third Party’s intellectual property; or (iv) your Internet Advertising might be legally actionable or otherwise objectionable for any reason.(d) Upon cancellation or suspension of your Internet Advertising by either you or OFL, this Agreement and all of its provisions will remain in effect throughout the remainder of the Term, and you agree to pay any fees owed. OFL will not be required to prorate listing fees for partial months.
4.	Advertising Content. (a) You will have password-protected access to complete a seller profile page on the Website which you can include a description of your business and contact information. In addition, you will have access to post on the Website the number of product listings specified in Section 5(b), and each listing can include a complete product description with up to Ten (10) digital photos.  You may change, update, delete, and add listings directly to the Website as often as you want. (b) OFL will assist Seller with initial setup of Seller’s profile and online listings (text only descriptions). (c) OFL has the right to approve and/or modify the images and wording of all advertising content.  Seller grants OFL the non-exclusive worldwide right and license to use any and all advertising content, including any trademarks, copyrights, or other intellectual property, provided under this Agreement for the purposes of marketing the Website and its services.  
5.	Fees for Internet Advertising.  You agree to pay OFL the following fees unless both parties agree to a separate fee schedule in writing (collectively referred to herein as the “Advertising Fees”):  $69.95 per month Listing Fee for a maximum of 25 product listings. Additional $69.95 per month for each quantity of 25 product listings over the original 25 product posts. The Listing Fee for each month thereafter shall be due by the 1st day of each month (the “Due Date”). 
If any Advertising Fees are not paid within 10 days of the Due Date, Seller agrees to pay OFL a one-time late charge of $25  (not to exceed the maximum amount allowed by applicable law) on the overdue amount. Seller also agrees to pay $27.00 for each returned check for insufficient funds or any other reason.  Seller may set up an automatic draft for its Advertising Fees by completing an Authorization Form.  Seller will be responsible for paying any and all advertising taxes. OFL at any time during the Term of this Agreement provide thirty (30) days notice to Dealer of any changes in OFL’s Advertising Fees and Seller agrees to pay those fees unless both parties agree to a separate fee schedule in writing.
6.	Agree to Seller Terms and Conditions, Authority.  You hereby represent, warrant and certify that the person signing this Agreement (i) has read and agreed to the Seller Terms and Conditions (“Terms and Conditions”) which are posted on OFL’s Website; and (ii) has the legal capacity and all necessary right and authorization to agree to this Agreement and the Terms and Conditions on behalf of the Seller, without any further consent or additional approval of any person or entity.  You further agree that, once you have accepted this Agreement and the Terms and Conditions, they will be legally binding and enforceable against you.. 
7.	Indemnification and Hold Harmless. Seller agrees to indemnify and hold harmless OFL from, any and all claims, expenses, injuries, warranties, damages, and any other complaints, charges, liabilities, obligations, promises, controversies, damages, demands, debts, actions and causes of action, of every nature and kind whatsoever, whether in contract or in tort, and whether statutory or common law, past, present and future, and whether known or unknown, arising out of the terms of this Agreement and/or Sellers contact with any referrals. 
8.	Notices. Unless otherwise provided herein, all notices, reports and other communications given pursuant to this Agreement shall be in writing and shall be sent by (a) first class mail, postage prepaid, certified or registered with return receipt requested; (b) delivered in person or by nationally recognized overnight courier; or (c) email or facsimile and such notice shall be considered given on the date delivered or transmitted. If notice is given via email, the Party providing the notice must verbally verify within 24 hours with the recipient that the email was received. Notice given to a Party in any other manner shall be effective only if and when received by the addressee.
9.	Miscellaneous Provisions. The Parties covenant and agree that they shall first try in good faith to settle by mediation any dispute arising out of or relating to this Agreement or its breach before filing a lawsuit. The laws of the State of Texas shall govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the Parties hereto.  Exclusive venue of any action shall be in Tarrant County, Texas. This Agreement constitutes the entire agreement of the Parties and supersedes any and all prior agreements or understandings between them. Each Party acknowledges and agrees that they have not relied upon or regarded as binding any prior agreements, negotiations, representations, or understandings, whether oral or written, except as expressly set forth herein.  No failure by any Party hereto to insist upon the performance of any term, covenant or agreement contained herein or in accordance herewith shall operate as a waiver of any such term, covenant or agreement, and no failure by any Party to exercise any right or remedy provided hereunder shall constitute a waiver of any such right or remedy. Except as otherwise provided herein, no amendment or modification of this Agreement, and no approvals, consents or waivers by a Party hereto, shall be valid, binding, or effective, unless set forth in writing and executed by the Party or Parties to be bound thereby. If any provision (or any part of any provision) contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision (or remaining part of the affected provision) of this Agreement, but this Agreement shall be construed as if such invalid, illegal, or  unenforceable provision (or part thereof) had never been contained herein, but only to the extent it is invalid, illegal, or unenforceable.  Each Party to this Agreement acknowledges that it has retained, or has been afforded the opportunity to retain, independent legal counsel in negotiating, entering into, and executing this Agreement.  The fact that this Agreement may have been drafted in whole or in part by one such Party’s counsel shall not cause any part of this Agreement to be construed against such Party. This Agreement shall inure to the benefit of and be binding upon the parties and their respective legal representatives, successors, and assigns; provided, however, that Seller may not assign this Agreement without the prior written consent of OFL, which consent OFL may withhold in its sole discretion.  If Seller or OFL is a prevailing Party in any legal proceeding brought as a result of a dispute under this Agreement or any transaction contemplated by this Agreement, such Party will be entitled to recover from the non-prevailing Party all costs of such proceeding and reasonable attorney’s fees. This Agreement may be executed in a number of identical counterparts, each of which for all purposes is deemed an original, and all of which constitute collectively one Agreement; but in making proof of this Agreement, it shall not be necessary to produce or account for more than one such counterpart.
